These Terms of Use (“Terms”) form an agreement between you and KeyBiz Consultancy OPC (“KeyBiz,” “we,” “our,” or “us”). By creating an account, signing in, accessing, or using the KeyBiz mobile application, client portal, website features, or related services, you acknowledge that you have read and agree to these Terms.
If you do not agree, do not use the app or services. Nothing in these Terms limits rights that cannot legally be waived under applicable Philippine law.
1. Scope of the KeyBiz Services
KeyBiz provides business-registration assistance, bookkeeping, tax-compliance support, document preparation, filing coordination, payment-status monitoring, client-record access, reminders, and other related professional or administrative services.
Features displayed in the app may include sales records, expenses, retainer balances, estimated tax dues, filing schedules, documents, notifications, scans, payment references, and service-status updates. Features may be added, changed, suspended, or discontinued when reasonably necessary for security, maintenance, legal compliance, or service improvement.
2. Account Eligibility and Security
- You must provide accurate, current, and complete account and business information.
- You are responsible for protecting your password, device access, and authentication methods.
- You must promptly notify KeyBiz if you suspect unauthorized access or account misuse.
- You may not share, sell, transfer, or allow unauthorized persons to use your client account.
- Biometric login is handled by your device. KeyBiz does not receive or store your fingerprint template.
We may request reasonable identity or authority verification before allowing access to sensitive records, making account changes, or processing deletion and recovery requests.
3. Client Responsibilities
You are responsible for:
- Providing complete, correct, authentic, and timely records, documents, figures, and instructions;
- Reviewing drafts, computations, declarations, filing details, and payment instructions before approval or submission;
- Informing KeyBiz promptly of changes to your registration, tax type, address, RDO, contact details, business activities, or authorized representatives;
- Maintaining original books, receipts, invoices, permits, certificates, and supporting records when required;
- Paying applicable taxes, government charges, penalties, service fees, and third-party transaction fees on time; and
- Responding promptly to requests for clarification, documents, signatures, authorization, or confirmation.
KeyBiz is not responsible for delay, rejection, penalty, incorrect filing, or additional cost caused by incomplete, inaccurate, altered, late, withheld, or misleading information supplied by the client or another person acting for the client.
4. Service Fees, Retainers, and Payments
Applicable service fees, retainer rates, inclusions, schedules, and payment terms will be shown in the app, website, quotation, invoice, engagement document, or other written communication from KeyBiz.
- Government fees, taxes, penalties, courier charges, notarial fees, payment-channel fees, and other third-party costs are separate unless expressly stated as included.
- Amounts shown as tax due or outstanding may be estimates or working figures until validated and officially confirmed.
- A payment is considered received only after successful verification and recording by KeyBiz or the applicable payment provider.
- Late, reversed, disputed, incomplete, or unverified payments may delay the related service.
Refund eligibility, if any, depends on the applicable service, work already performed, non-refundable third-party costs, and any written agreement. Nothing in this section removes remedies available under applicable consumer law.
5. Government Agencies, Deadlines, and Third-Party Systems
KeyBiz is an independent professional service provider. References to BIR, DTI, SEC, RDOs, LGUs, government forms, official portals, payment providers, or other organizations are for client assistance and identification only. They do not imply government ownership, affiliation, accreditation, endorsement, or guaranteed approval.
Final assessments, approvals, registrations, filings, posting, processing times, availability, penalties, and official records are controlled by the applicable government agency or third party. Their systems may be unavailable, delayed, changed, or subject to additional requirements beyond KeyBiz’s control.
Public tax-calendar information and reminders are provided for general reference. Clients must confirm deadlines and requirements applicable to their own registration, tax type, filing method, fiscal period, and circumstances.
6. Estimates, Records, and Professional Judgment
Calculations, status labels, reminders, and summaries displayed in the app may be based on information available at the time. They may change after reconciliation, staff review, government validation, client correction, or receipt of additional documents.
Unless expressly covered by a separate written engagement, information in the app is not legal, investment, audit, or financial-planning advice. When specialized advice is required, you should consult the appropriate licensed professional.
7. Acceptable Use
You must not:
- Use the app for unlawful, fraudulent, deceptive, abusive, or unauthorized purposes;
- Upload malware, falsified records, unlawful content, or material you have no right to provide;
- Attempt to bypass security, access another person’s account, scrape private records, or interfere with the app or servers;
- Reverse-engineer, copy, resell, or commercially exploit the app except where applicable law expressly permits; or
- Misrepresent KeyBiz, its staff, services, prices, partnerships, or relationship with government agencies.
8. Client Content and Documents
You retain your lawful rights to documents and content you submit. You authorize KeyBiz to access, process, reproduce, transmit, and store that content only as reasonably necessary to provide requested services, maintain records, protect accounts, and meet legal obligations.
You confirm that you are authorized to provide submitted personal information and documents. Our handling of personal data is explained in the KeyBiz App Privacy Policy.
9. Intellectual Property
The KeyBiz name, branding, application design, software, original text, graphics, workflows, and other proprietary materials are owned by or licensed to KeyBiz and are protected by applicable intellectual-property laws. These Terms grant only a limited, personal, revocable, non-exclusive right to use the app for its intended purpose.
10. Third-Party Services and Links
The app may connect to or provide links to government portals, payment providers, email, notifications, maps, hosting, or other third-party services. Their own terms, fees, availability, security, and privacy practices apply. KeyBiz does not control and is not responsible for third-party systems, content, or decisions, but this does not remove any responsibility that KeyBiz cannot legally exclude.
11. Availability and Limitation of Responsibility
We use reasonable care to keep the app secure and available, but uninterrupted or error-free operation cannot be guaranteed. Maintenance, connectivity problems, device limitations, cyber incidents, government outages, or events beyond reasonable control may affect access.
To the fullest extent permitted by law, KeyBiz is not liable for indirect, incidental, special, or consequential loss arising solely from app interruption, third-party failure, or client-provided errors. Any limitation applies only where lawful and does not exclude liability for fraud, willful misconduct, gross negligence, violation of data-protection obligations, or other responsibility that cannot be excluded under Philippine law.
12. Indemnity for Unlawful Misuse
To the extent permitted by law, you agree to be responsible for reasonable losses or claims caused by your unlawful use of the app, intentional violation of these Terms, fraudulent submission, infringement of another person’s rights, or unauthorized disclosure of another person’s data. This provision does not apply to losses caused by KeyBiz’s own unlawful act, gross negligence, or willful misconduct.
13. Suspension, Termination, and Account Deletion
KeyBiz may reasonably restrict or suspend access when needed to investigate fraud, secure an account, prevent harm, comply with law, address serious non-payment, or respond to a material violation of these Terms. When appropriate, we will provide notice and an opportunity to resolve the issue.
You may stop using the app and request account deletion through the KeyBiz App Account Deletion page. Some records may be retained when required by tax, accounting, legal, fraud-prevention, or regulatory obligations.
14. Changes to These Terms
We may update these Terms to reflect new features, business practices, security requirements, or legal obligations. The updated version and effective date will be posted on this page. Material changes may also be communicated through the app, website, or account contact details.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of the Philippines. Before filing a formal dispute, both parties are encouraged to communicate in good faith and attempt a reasonable resolution. Nothing in these Terms prevents either party from using a lawful remedy or filing with a court, regulator, or government agency that has proper jurisdiction.
16. Severability and Entire Agreement
If any provision is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law. These Terms, the Privacy Policy, applicable quotation, service agreement, and written service instructions form the relevant agreement for use of the app and requested services. A specific written service agreement controls if it expressly conflicts with these general Terms.
